Board of Directors Elections Rules

In response to the comments we have received from membership and the concerns that the strict letter of the rules of association are followed, the Board requested that legal counsel review and submit their own draft of the elections rules.  From that review and drafting comes the followed revised set of rules, which will be used for this election process.

1.  These election rules are to be read in conjunction with the Mambo Foundation Rules of Association.

2.      The following five positions on the Board are open for nominations:

(a)  President;

(b)  Vice President;

(c)  Treasurer;

(d)  Secretary; and

(e)  Ordinary Director.

3.  Any member in good standing is eligible to nominate for one of the available Board positions.  Members must indicate for which single position they intend to run.  For a member to be in good standing, they must have paid all membership fees no later than 11:59pm on 31 May 2006 Greenwich Mean Time (GMT).

4.  Nominations must be made in writing, signed by two members of the Association and accompanied by the written consent of the Candidate.  Nominations may be faxed to Jim Begley at +61 3 9614 5344, delivered by post to Jim Begley at P.O. Box 423 Collins Street West, Melbourne Victoria Australia 8007 or sent in pdf or jpg format to .

5. To announce your candidacy, send a message to with the following information:

(a)  your full name;

(b)  email address;

(c)  the position for which you are nominated;

(d)  your corporate affiliations (if any); and

(e)  a summary of your reasons for wanting to serve as a Director.  Summaries should be no longer than 75 words of continuous English text.  Summaries must not contain bullet lists or multiple paragraphs.

6.    Nominations must be received by the Secretary no later than 11:59pm on 23 June 2006 GMT.

7.   A compilation of the summaries, voting instructions and proxy forms for the Annual General Meeting (AGM) will be emailed to eligible voters on 26 June 2006.

8.   Members of the Mambo Foundation as of 1 June 2006 are eligible to vote in the elections.  Members who are unsure if their email address details are correct may check their details by sending an email to with the membership name and correct email address.

9.    Each member is entitled to one vote.  Any one person cannot hold more than one membership.

10.  Proxies may be faxed to Jim Begley at +61 3 8610 0600 , delivered by post to Jim Begley at Level 18, 31 Queen Street Melbourne Victoria Australia 3000, or sent in pdf or jpg format to .

11.  Proxies must be returned no later than 11:00pm on 29 June 2006 GMT.

12.  The AGM will be held at 11:00pm on 30 June 2006 GMT.  Voting for members in attendance (i.e. non-proxy votes) closes at the AGM.

13.  The identity of an individual voter’s vote will only be disclosed to the Secretary, the appointed proxy and in the case of a dispute, the Elections Committee.  Upon completion of the elections, voting totals will be available to the public.  The voting totals will not identify the votes of individual voters.

14.  An Elections Committee composed of non-Board members will oversee the voting process to ensure independence and transparency.

15.  The Candidate who receives the most votes for a position is elected to that position.

16.  In the event that two or more Candidates receive an equal number of votes for a position, the Elections Committee will arrange for another election to be held for that position as soon as practicable.

17.  If there is only one Candidate nominated for a position, that Candidate will be deemed to be elected.

18.  If insufficient nominations are received to fill all vacancies on the Board, nominations for the remaining positions may be received at the AGM.

19.  The Elections Committee will announce the preliminary results at the close of counting and provide instructions on how to access the archive of votes.

20.  Any eligible voter may challenge the preliminary results by sending an email to prior to 30 July, 2006.  The decision of the Elections Committee as to any challenge is final.  Once any challenges have been resolved, the Elections Committee will announce the final results.

21.  Any questions regarding the election process should be directed to the Elections Committee by email to  The Elections Committee shall have the power to make any necessary changes or clarifications to these rules at any point during the elections to ensure compliance with the Rules of Association.


Timeline

(all deadlines are 23:59 GMT)
  • 31 May 2006: Last day to apply for membership (to be eligible for these elections).
  • 23 June 2006: Last day to announce candidacies, submit summary statements.
  • 26 June 2006: Instructions mailed to eligible voters (voters must return by proxies by end of 29 June).
  • 01 July 2006: Annual General Meeting - Voting closes.
  • 10 July 2006: Preliminary results are announced.
  • 30 July 2006: Last day to challenge preliminary results.
  • 1 August 2006: New Directors commence their one year term of office.
